Technician Agreement

This Technician Agreement ("Agreement") governs work performed by independent contractor technicians ("Technician," "you") through Alentra LLC, doing business as Kyete ("Kyete," "we," "us"). By creating a technician profile, accepting a job, using the technician portal, using Stripe Connect onboarding, or performing work for a Kyete customer, you agree to this Agreement.

1. Independent contractor status

You are an independent contractor, not an employee, partner, joint venturer, agent, or franchisee of Kyete. You control the lawful manner and means of performing accepted work, subject to customer requirements, safety rules, job scope, platform procedures, quality standards, and this Agreement. You are responsible for your own taxes, insurance, licenses, permits, tools, transportation, and business expenses unless Kyete agrees otherwise in writing.

2. Eligibility, verification, and compliance

You must provide accurate profile information, phone number, email, service skills, payment account details, driver's license or identity documentation if requested, and any license, insurance, or qualification information required for the work you accept. Kyete may approve, reject, suspend, or deactivate technician access based on safety, quality, customer complaints, payment risk, fraud risk, identity mismatch, no-shows, poor ratings, or failure to follow platform rules.

3. Job acceptance and scope

You may accept or decline available jobs. Once you accept a job, you must arrive on time, communicate accurate status updates, perform only work within your competence and the approved scope, and stop if the job requires a licensed trade professional, permit, unsafe work, or work outside your lawful authority. You must not make promises, warranties, price concessions, or scope changes on Kyete's behalf except through the approved app or messaging workflow.

4. Coverage area and schedule accuracy

You must keep your service coverage area and availability current in the technician portal. Kyete may use your selected state, county, ZIP codes, service skills, and availability to offer appointment times to customers and assign jobs. You may update your coverage area when your business capacity changes, but you remain responsible for appointments already booked in areas you previously selected.

Removing a ZIP code, county, or coverage area that contains an appointment booked for you within the next 24 hours is treated as a technician no-show unless Kyete expressly waives that result in writing. Kyete may attempt to reassign the appointment to another qualified technician. If reassignment is not available, Kyete may notify the customer after owner review, reschedule or cancel the appointment, suspend your account, record a no-show, and offset or withhold amounts as allowed by this Agreement and applicable law.

5. Customer approval before work

Before work begins, you must ensure the customer has approved the estimate, not-to-exceed amount, or written scope through Kyete's approved workflow. You must not begin chargeable work until Kyete's system confirms any required customer approval and payment authorization. If the customer requests different work, additional work, or a higher amount, you must create a change order and wait for customer approval and payment authorization before continuing.

6. Completion signoff is mandatory

Customer signoff is required at the end of each job unless Kyete expressly waives it in writing. You must present the customer with the completion summary through Kyete's approved process and must not mark the job complete until the customer signs, confirms by one-time passcode, or Kyete approves an exception. You may not forge, pressure, misrepresent, or enter a customer's approval yourself.

If a customer refuses to sign, disputes the work, or is unavailable, you must submit completion evidence through the platform, including photos, notes, time records, materials, customer communications, and the reason signoff was not obtained. Kyete may hold payment while it reviews the job.

7. Payment to technicians

Technician payment is conditioned on Kyete receiving or capturing customer funds for the job, unless Kyete states otherwise in writing. Customer signoff, successful payment capture, and absence of fraud or quality flags are prerequisites to payout. Kyete may delay, reduce, reverse, offset, or withhold payout for chargebacks, refunds, customer disputes, fraud concerns, duplicate charges, unauthorized work, no-shows, poor workmanship, property damage, missing evidence, failure to obtain signoff, or violation of this Agreement.

Payments are made through Stripe Connect or another Kyete-approved method. You must complete payment onboarding and keep payment information current. You are responsible for taxes, forms, and reporting associated with amounts paid to you.

8. No side payments or circumvention

You may not solicit, accept, request, or encourage cash payments, direct electronic payments, off-platform jobs, tips outside approved channels, or other payments from Kyete customers for work first introduced, scheduled, quoted, or performed through Kyete unless Kyete gives written approval. You may not use customer information obtained through Kyete to bypass the platform or divert work away from Kyete.

9. Records, photos, and evidence

You must keep accurate records of arrival, departure, work performed, materials used, customer approvals, and job conditions. Kyete may require before/after photos, receipts, notes, GPS/context logs, and customer communications. These records may be used for quality review, warranty support, payment capture, fraud prevention, customer disputes, insurance, tax, and legal claims.

10. Customer safety, privacy, and professionalism

You must treat customers, occupants, property, pets, and neighbors professionally and safely. You may use customer information only to perform the assigned Kyete job. You must not copy, sell, misuse, or disclose customer information. You must promptly report safety incidents, property damage, injuries, threats, harassment, or suspected fraud.

11. Quality, warranty, and corrective work

Kyete may require corrective work, review, or customer follow-up for workmanship issues. If a problem results from your error, unauthorized scope, no-show, unsafe conduct, or violation of instructions, Kyete may offset associated costs against future payouts to the extent permitted by law and this Agreement.

12. Fraud, collusion, and platform abuse

Kyete may immediately suspend or deactivate you and withhold disputed payouts if we suspect forged signoffs, inflated hours, false materials, fabricated jobs, customer collusion, repeated chargebacks, stolen payment methods, identity mismatch, account sharing, off-platform solicitation, or other abuse. Kyete may cooperate with payment processors, banks, insurers, law enforcement, legal counsel, and customers when investigating suspected fraud or misconduct.

13. Insurance, taxes, and legal compliance

You are responsible for maintaining legally required licenses, permits, insurance, vehicle coverage, and tax records for your business. Kyete may request proof at any time. You must comply with applicable federal, Missouri, and local laws, codes, safety rules, and customer property rules.

14. Termination

Either party may stop using the platform at any time, subject to completion of accepted jobs, payment reconciliation, customer disputes, warranty issues, and legal obligations. Kyete may suspend or terminate access immediately for safety, fraud, payment, quality, compliance, or customer-protection reasons.

15. Dispute resolution

This Agreement is governed by Missouri law. Any dispute that cannot be resolved informally will be handled in the state or federal courts located in St. Louis, Missouri, unless applicable law requires otherwise.
